End-User License Agreement (EULA)
This End-User License Agreement (the "EULA") is a legal agreement between you (an individual or legal entity, the "User") and Perspective GAIA SARL, publisher of the Im.Age Commerce software (the "Software"). By installing, copying or using the Software, you agree to be bound by the terms of this EULA.
1. License grant
Subject to compliance with this EULA, the Licensor grants you a personal, non-exclusive, non-transferable, revocable license to install and use the Software on the number of devices authorized by your license tier.
2. Activation and account
Activation requires verification of a WhatsApp phone number via OTP. The Licensor may keep a register of installs associated with your account in order to enforce license limits.
3. Restrictions
You agree not to:
- copy, distribute or sublicense the Software;
- disassemble, decompile or attempt to extract its source code, except as permitted by law;
- circumvent protection, activation or licensing mechanisms;
- use the Software for unlawful purposes or in violation of third-party rights.
4. Personal data
Data processing is governed by the Privacy policy. The Software runs offline by default: your business data is not uploaded to the Licensor's servers.
5. Updates
The Licensor may publish updates. Some may be offered automatically by the application. You can decline them, but you understand that doing so may limit security or features.
6. Ownership
The Software remains the exclusive property of Perspective GAIA SARL or its licensors. This EULA does not transfer any ownership; it grants only a limited right of use.
7. Warranty
The Software is provided "as is". To the fullest extent permitted by law, the Licensor disclaims any implied warranty (merchantability, fitness for a particular purpose, freedom from interruption or error). The User remains responsible for regularly backing up their data.
8. Limitation of liability
To the fullest extent permitted by law, the Licensor's total liability under this EULA is capped at the amount paid by the User for the relevant license during the 12 months preceding the triggering event. The Licensor shall not be liable for indirect damages, lost profits, lost goodwill, loss or corruption of data.
9. Termination
This EULA remains in force until terminated. You may terminate it at any time by uninstalling the Software. The Licensor may terminate the EULA in case of material breach by you. Upon termination, you must cease all use of the Software and uninstall it.
10. Governing law and jurisdiction
This EULA is governed by the laws of Burkina Faso. Any dispute shall be submitted to the courts of Ouagadougou, except where mandatory law provides otherwise.
11. Miscellaneous
If any clause of this EULA is held invalid, the remaining clauses remain enforceable. Together with the Privacy policy and the Terms of service, this EULA constitutes the entire agreement between the parties for its subject matter.
